2.1 Engagements
Specific service engagements are governed by a signed agreement between the parties (such as a Professional Services Agreement, Statement of Work, or other engagement document) and the applicable Proposal or scope document. In the event of any conflict between these Terms and a signed engagement agreement, the signed engagement agreement takes precedence.
2.2 No Guarantee of Outcome
We apply professional expertise and best practices to every engagement. However, we do not guarantee specific business outcomes, revenue growth, or product success. Results depend on factors outside our control, including client implementation and market conditions.
2.3 Client Responsibilities
To deliver effective services, we rely on timely access to information, stakeholders, and feedback. Delays caused by the client may affect timelines and deliverables.
3. Website Use
3.1 Permitted Use
You may use our website for lawful purposes only. You agree not to:
- Copy, reproduce, or distribute our content without written permission
- Scrape, crawl, or extract data from our website by automated means
- Attempt to gain unauthorized access to any part of our systems
- Use our website in any way that could damage our reputation or operations
3.2 Intellectual Property

Upon full payment, all deliverables produced for your engagement become your exclusive property, as set out in your signed engagement agreement.
4.2 UA Product Team Materials
We retain ownership of our pre-existing methodologies, frameworks, templates, and general tools used in the course of delivering services. These are not transferred to the client as part of an engagement.
4.3 Your Materials
Any materials, data, or information you provide to us remain your property. We use them solely to deliver the agreed services.
5. Confidentiality
Both parties agree to keep confidential any non-public information shared during an engagement, as further detailed in the applicable signed engagement agreement. These Terms extend the same confidentiality expectation to pre-contract discussions and inquiries.
6. Payment
Payment terms for engagements are governed by the applicable signed engagement agreement and Proposal. General principles:
- A deposit is required before work commences
- Invoices are due upon receipt unless otherwise agreed in writing
- Late payments may result in suspension of work
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total liability for any claim arising from our services shall not exceed the total fees paid by you in the 3 months preceding the claim
- We are not liable for any indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities
- We are not liable for outcomes resulting from inaccurate or incomplete information provided by the client
Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.
8. Indemnification
You agree to indemnify and hold harmless UA Product Team, its personnel, and contractors from any claims, losses, or expenses (including legal fees) arising from:
- Your misuse of our website or services
- Your breach of these Terms or any signed engagement agreement
- Any third-party claims arising from materials or information you provided to us
9. Third-Party Links and Tools
Our website may contain links to third-party websites. We are not responsible for their content, privacy practices, or availability. Links do not imply endorsement.
In delivering services, we may recommend or use third-party tools. We are not liable for the performance or terms of those tools.

These Terms are governed by the laws of Ukraine, without regard to conflict of law principles, or as otherwise agreed in writing in a signed engagement agreement.
For EU/EEA clients: nothing in these Terms affects your statutory rights under EU consumer or business protection law.
For US clients: any disputes not resolved amicably shall be submitted to binding arbitration under mutually agreed rules, with proceedings conducted in English.

13. Changes to These Terms
We may update these Terms from time to time. The current version will always be posted on our website with the “Last updated” date. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
For active client engagements, material changes to Terms will be communicated directly and require mutual agreement.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
